DESCRIPTION OF PROMOTION:

The Scion KROQ LA INVASION TEST DRIVE PROMOTION ("Promotion") is a test drive promotion sponsored by the Los Angeles Region of Toyota Motor Sales, U.S.A., Inc. ("Sponsor") in association with Los Angeles area radio station KROQ ("Producer"), producers of the concert "LA Invasion" (the "Concert") at Home Depot Center (the "Venue") in Carson, California, on September 15, 2007. In connection with the Promotion, eligible individuals ("Participants") may register on the Scion LA Invasion Test Drive Promotion website (the "Promotion Website"), take the completed registration form (the "Registration Form") to an authorized participating Scion dealership and test drive a Scion vehicle, after which they will be able to claim (subject to all of these Official Promotion Rules), at Producer's designated offices in Los Angeles, California, two tickets (the "Prize Tickets") to the Concert. A description of the Promotion details, including important dates, procedures and criteria for determining eligibility of Participants and availability of Prize Tickets, can be found below. Producer and/or Sponsor may run multiple promotions simultaneously. Participation in this Promotion does not constitute entry into any other promotion, contest, sweepstakes or game.

Participants may only qualify for the Promotion by registering on the Promotion Website and taking a Scion test drive at one of the authorized and participating Los Angeles area Scion dealerships ("Participating Dealers") listed on the attachment to these Official Promotion Rules. Registrations to test drive the Scion vehicles, and test driving of Scion vehicles by eligible Participants who have properly registered, will begin at 9:00 a.m. (Pacific Time) on August 3127, 2007, and all test drives must be completed by 10:00 p.m. (Pacific Time) on September 9. 2007, subject to the Promotion being ended earliersooner if if 850 Participants shall have completed the first stage of registrationall 1700 Prize Tickets (consisting of 850 pairs of Prize Tickets) are claimed before the above cutoff time and date for test drives (such period, the "Promotion Period"). "). (The "first stage of registration" referred to in the previous sentence and elsewhere in these Official Promotion Rules is the Participants' proper registration on the Promotion Website as described in item (1) of the first sentence under "How to Participate and Claim Prize Tickets," below). Participants' ability to take a test drive is further subject to the Participating Dealers' normal operating hours (which may be shorter than the above times), to the availability of dealership personnel to supervise the test drives and to the Participating Dealers' customary rules and procedures for permitting customers to take test drives at their dealerships.

Decisions of Sponsor and/or Producer as to the administration of the Promotion, eligibility of Participants, compliance with and interpretation of the Official Promotion Rules, and the number and sequence of Prize Ticket redemptions, will be final and binding.

WHO MAY PARTICIPATE:

Only legal U.S. residents of the State of California, , with a valid U.S. driver's license who are eighteen (18) years of age or older at the time of the first stage of registration for the Promotion, are eligible to register for the Promotion. Anyone using the Prize Tickets to attend the Concert must be eighteen (18) years of age or older.

Officers, directors and employees of the Producer, the Sponsor, any vendor engaged by either to conduct the Promotion, each of Producer's and/or Sponsor's parents, subsidiaries, affiliates, and each of their immediate family members (including, without limitation, those persons, whether or not related, living in the same household of each) are ineligible to enter the Promotion or receive Prize Tickets.

BY PARTICIPATING IN THE PROMOTION, EACH PARTICIPANT REPRESENTS AND WARRANTS THAT HE OR SHE MEETS THESE ELIGIBILITY REQUIREMENTS AND HAS READ, ACCEPTS AND WILL COMPLY WITH AND BE BOUND BY THESE OFFICIAL PROMOTION RULES AND THAT ANY VIOLATION THEREOF MAY DISQUALIFY PARTICIPANT.

HOW TO PARTICIPATE AND CLAIM PRIZE TICKETS:

To participate in the Promotion and receive Prize Tickets, all eligible Participants must: (1) properly register on the Promotion Website during the Promotion Period by completing the Participant's portion of the Registration Form, (2) during the Promotion Period, take the Registration Form as properly completed by the Participant to a Participating Dealer, (3) during the Promotion Period, test drive an available Scion vehicle as directed and supervised by such Participating Dealer's personnel and (4) beginning on or before September 10, 2007, and continuing through and including September 13, 2007, take the Registration Form (as completed by the Participating Dealer's personnel so as to confirm Participant's eligibility and completion of the test drive) to Producer's designated offices in Los Angeles, California during the hours of 10:00 a.m. to 5:00 pm, Pacific Time, Monday through Friday (excluding holidays) and claim his or her Prize Tickets (subject to all of these Official Promotion Rules, including without limitation the possibility that the Promotion shall have ended early as a result of 850 Participants' having already completed the first stage of registration). The designated offices of Producer, where Prize Tickets may be claimed by Participants who are entitled to claim such Prize Tickets under these Official Promotion Rules, are located at: KROQ, Promotions Department, 5901 Venice Boulevard, Los Angeles, California 90034.

The Registration Form must include the following information: the first and last name, e-mail address, date of birth, household address (including street number, street name and city and state of residence), and day time and evening phone numbers of the individual submitting the Registration Form. Mechanically reproduced, illegible, incomplete or forged Registration Forms may be rejected by Sponsor.
There is a limit of one (1) Registration Form per Participant, and no Participant is eligible to receive more than two (2) Prize Tickets. There is also a limit of two (2) Prize Tickets per household address. Proper completion of the Registration Form will be the sole responsibility of the Participant, and Sponsor shall not be responsible for, nor obliged to accept, incomplete, inaccurate or improperly completed Registration Forms. The Registration Forms become the physical property of the Sponsor and will not be returned. If Participant registers multiple times, all Registration Forms submitted after the first (1st) Registration Form will be disqualified.

Additional requirements and restrictions are set forth elsewhere in these Official Promotion Rules.

THERE IS NO PURCHASE NECESSARY TO REGISTER OR RECEIVE PRIZE TICKETS.

PRIZE TICKET AVAILABILITY:

Only the first 850 Participantseligible people who properly complete the first stage of registrationsteps for claiming a pair of Prize Tickets as set forth above will be entitled to claim Prize Tickets. There are only 1700 Prize Tickets available, and they will be awarded in pairs, so that o Once the first 850 Participantspeople have completed the first stage of registrationentitled to claim Prize Tickets have done so, no more Registration Forms will be accepted.Prize Tickets will be available, even to Participants who have otherwise completed the steps necessary to claim Prize Tickets. Prize Tickets will not be made available to people who attempt to register after such first 850 Participants, even if some Prize Tickets remain unclaimed.

PRIZES:

The prize for the Promotion is a pair of tickets to the Concert ($75 value for the pair; $35 value of each individual ticket). No cash substitutions are allowed. No compensation will be paid in lieu of the cancelled, postponed or altered Concert. Prize Tickets will not be replaced if lost, stolen or damaged. Participants who receive Prize Tickets are responsible for their own transportation to and from the Venue and for any meals, refreshments or overnight accommodation they might require. The prize is limited to the Prize Tickets and all other costs and expenses are the responsibility of the Participants.

PUBLICITY RELEASE:

Submission of a Registration Form at the first stage of registration constitutes irrevocable permission for Producer and Sponsor and their respective licensees, successors, assigns and sub-licensees to use Participant's name, likeness, voice, testimonial and/or biography in connection with the Promotion, including for advertising and/or publicity purposes, worldwide, in perpetuity and in all forms of media and by all manners (in each case now and hereafter known), and on and in connection with related products, services, advertising and promotional materials (now known or hereafter developed), in perpetuity, without any obligation to Participant except for the awarding of Prize Tickets to those entitled to them under these Official Promotion Rules.

ADDITIONAL TERMS AND CONDITIONS:

THE PROMOTION IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW.
Participants agree that Sponsor and its parent, subsidiaries, affiliates, distributors, licensors, licensees, representatives, attorneys and advertising and promotion agencies (including Producer), and each of their respective directors, officers, employees, agents, successors and assigns ("Released Parties") (A) will not be responsible or liable for any losses, damages or injuries of any kind (including without limitation death) arising out of or related to Participants' participation in the Promotion (including, without limitation, losses, damages or injuries to Participants' or any other person's equipment or other property, or to their persons), related to participation in the Promotion; or arising out of any violation of rights of publicity or privacy, or claims of defamation or portrayal in a false light; or based on any claim of infringement of intellectual property; or from any typographical, human or other error in the printing, offering, selection, operation or announcement of any Promotion activity and/or prize), and (B) have neither made nor will be in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, in connection with the Promotion and/or with respect to prizes, including, without limitation, to any prize's quality or fitness for a particular purpose; (C) maintain no control over the personnel, equipment or operation of any person or entity furnishing services or products ("Vendors") as a part of the prize provided in connection with the Promotion (including without limitation the owners and operators of the Venue and the persons participating in the Concert); and (D) will not be responsible or liable for any injury, death, damage, loss, expense, accident, delay, inconvenience or other irregularity that may be caused or contributed to: (1) by the wrongful, negligent or unauthorized act or omission on the part of the Vendors or any of their agents, servants, employees or independent contractors, (2) by any defect in or failure of any vehicle, equipment, instrumentality, service or product that is owned, operated, furnished or otherwise used by any of those Vendors, (3) by the wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of the Released Parties, and (4) by any cause, condition or event whatsoever beyond the control of the Released Parties. The Released Parties assume no responsibility for any damage to a Participant's computer system which is occasioned by accessing Promotion-related websites or participating in the Promotion, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Sponsor will have the authority to extend the Promotion by posting notice thereof on the Promotion Website. Sponsor is not responsible for the actions of Participants in connection with the Promotion, including without limitation Participants' attempts to circumvent the Official Promotion Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Promotion. Persons registering or attempting to register for the Promotion mustParticipants agree to check check the Promotion Website regularly prior to the end of the Promotion for any changes in the Promotion and/or the Official Promotion Rules (including without limitation the possible early termination of the Promotion and consequent unavailability exhaustion of available of Prize Tickets), and to ensure that there is no need to re-register. By participating in this Promotion, Participants hereby agree to irrevocably release and hold the Released Parties harmless from and against all losses, damages, liabilities, claims, actions, proceedings, or judgments arising out of or relating to Participant's participation in this Promotion or use or misuse of any prize awarded hereunder. The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.

SUSPENSION / MODIFICATION / TERMINATION:

Sponsor reserves the right, in its sole discretion to modify, change, add to, delete, suspend or terminate these Official Promotion Rules, the Promotion or the Prize Tickets for any reason whatsoever without giving notice to Participants or others. Sponsor additionally reserves the right, in its sole discretion: (1) to modify, suspend or terminate the Promotion should causes beyond Sponsor's control corrupt or interfere with the administration, integrity, operation, or security of the Promotion; or (2) to disqualify any Participant found to be, or suspected of: (a) tampering with the registration process or the operation of the Promotion; (b) acting in violation of these Official Promotion Rules; or (c) acting in an un-sportsmanlike manner. All Participants must check Sponsor's website regularly to determine if there have been any changes made to the Official Promotion Rules, the Promotion or the prize(s), and to see if all the Prize Tickets have already been claimed. Persons found tampering with or abusing any aspect of this Promotion, or whom Sponsor believes to be causing malfunction, error, disruption or damage, will be disqualified.

In the event Producer and/or Sponsor is prevented from continuing with the Promotion by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, withdrawal or unavailability of Concert participants, unavailability of the Venue, Act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within the Sponsor's control (each a "Force Majeure" event or occurrence), Producer and/or Sponsor shall have the right to modify, suspend or terminate the Promotion.

GOVERNING LAW / JURISDICTION / LIMITATION OF LIABILITY:

ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL PROMOTION RULES OR THE RIGHTS AND OBLIGATIONS OF PARTICIPANTS, SPONSOR OR THE RELEASED PARTIES IN CONNECTION WITH THE PROMOTION WILL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF CALIFORNIA, WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE'S LAWS. EACH PERSON WHO PARTICIPATES IN THE PROMOTION IRREVOCABLY AGREES THAT SUCH DISPUTE(S) WILL BE RESOLVED SOLELY BY BINDING ARBITRATION BEFORE A SOLE ARBITRATOR, WITH EXPERIENCE IN ADVERTISING OR PROMOTION AND ENTERTAINMENT LAW, UNDER THE RULES AND REGULATIONS OF THE AMERICAN ARBITRATION ASSOCIATION ("AAA"); PROVIDED, HOWEVER, THAT NOTWITHSTANDING THE PARTIES' DECISION TO RESOLVE ANY AND ALL DISPUTES ARISING UNDER THIS PROMOTION THROUGH ARBITRATION, SPONSOR MAY (1) SEEK TO OBTAIN INJUNCTIVE RELIEF OR OTHER EQUITABLE RELIEF FROM A COURT TO ENFORCE THE PROVISIONS OF THESE OFFICIAL PROMOTION RULES; (2) BRING AN ACTION IN COURT TO PROTECT OR INTERPRET SPONSOR'S INTELLECTUAL PROPERTY RIGHTS; AND/OR (3) BRING AN ACTION TO ENFORCE THE DECISION OF THE ARBITRATOR BEFORE ANY COURT WITHIN THE APPLICABLE JURISDICTION. THE ARBITRATION WILL BE HELD IN LOS ANGELES, CALIFORNIA. THE ARBITRATOR WILL APPLY THE SUBSTANTIVE LAWS OF THE STATE OF CALIFORNIA, WILL ISSUE A WRITTEN DECISION AND WILL HAVE THE POWER TO AWARD ANY LEGAL REMEDIES EXCEPT AS LIMITED BY THESE OFFICIAL PROMOTION RULES. THE PARTIES WILL SPLIT THE ARBITRATOR'S FEE. EACH PARTICIPANT IRREVOCABLY WAIVES ANY RIGHT TO BRING OR JOIN IN ANY CLASS ACTION REGARDING THE PROMOTION.

BY REGISTERING OR ATTEMPTING TO REGISTER FOR THE PROMOTION, PARTICIPANT AGREES THAT: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, (IF ANY), NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00), BUT IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND PARTICIPANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) PARTICIPANTS' REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND PARTICIPANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. PARTICIPANT ACKNOWLEDGES AND AGREES THAT UNDER NO CIRCUMSTANCES WILL SPONSOR OR PRODUCER BE RESPONSIBLE FOR ANY COSTS, INJURIES, LOSSES OR DAMAGES OF ANY KIND ARISING FROM OR IN CONNECTION WITH: (1) INCOMPLETE, LOST, LATE, MISDIRECTED OR ILLEGIBLE REGISTRATION FORMS OR FOR FAILURE TO RECEIVE REGISTRATION FORMS DUE TO ANY CAUSE, INCLUDING, WITHOUT LIMITATION, HUMAN, TRANSMISSION OR TECHNICAL PROBLEMS, FAILURES OR MALFUNCTIONS OF ANY KIND, WHETHER ORIGINATING WITH SENDER, WITH SPONSOR OR OTHERWISE, THAT MAY LIMIT PARTICIPANTS' ABILITY TO PARTICIPATE IN THE PROMOTION; (2) ANY INJURY OR DAMAGE RESULTING FROM PARTICIPATION IN THE PROMOTION AND/OR THE USE OF ANY PRIZE (INCLUDING, WITHOUT LIMITATION, CLAIMS, COSTS, INJURIES, LOSSES AND DAMAGES RELATED TO PERSONAL INJURIES, DEATH, DAMAGES TO OR LOSS OF OR DESTRUCTION OF PROPERTY, OR ANY CLAIMS, COSTS, INJURIES, LOSSES, OR DAMAGES RELATED TO OR BASED ON PARTICIPANTS' RIGHTS OF PUBLICITY OR PRIVACY, OR PARTICIPANT'S CLAIM THAT HE OR SHE HAS SOMEHOW BEEN DEFAMED OR PORTRAYED IN A FALSE LIGHT).

JUDGMENT UPON THE ARBITRATION AWARD MAY BE ENTERED IN ANY COURT HAVING JURISDICTION THEREOF. THIS ARBITRATION PROVISION SHALL BE DEEMED TO BE SELF-EXECUTING, AND IN THE EVENT THAT ANY PARTY FAILS TO APPEAR TO ANY PROPERLY NOTICED ARBITRATION PROCEEDING, AN AWARD MAY BE ENTERED AGAINST SUCH PARTY NOTWITHSTANDING SAID FAILURE TO APPEAR. IN NO EVENT SHALL ANY PARTICIPANT SEEK OR BE ENTITLED TO RESCISSION, INJUNCTIVE, OR OTHER EQUITABLE RELIEF OR TO ENJOIN OR RESTRAIN THE OPERATION OF THIS PROMOTION (OR ANY WEBSITE CONNECTED THEREWITH), EXPLOITATION OF ANY ADVERTISING OR OTHER MATERIALS ISSUED IN CONNECTION THEREWITH, OR EXPLOITATION OF THIS PROMOTION (OR ANY WEBSITE OR ANY CONTENT OR OTHER MATERIAL USED OR DISPLAYED ON THE WEBSITE USED IN CONNECTION WITH THE PROMOTION).

MISCELLANEOUS:

The invalidity or unenforceability of any provision of these Official Promotion Rules or the Registration Form will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Promotion Rules or the Registration Form is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor's failure to enforce any term of these Official Promotion Rules will not constitute a waiver of that provision. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof.
