Attend either a select Hot Import Night Event or a select Night Shift Event ("Regional Event"), to be held at select cities in the United States, and visit the Scion booth. Complete the entry form and return it to a Scion representative ("Event Entry"). Use of any automated system (e.g., a photocopy machine) to submit Event Entries is prohibited and will result in disqualification. 3) 3 x 5 Card Entry. Fill out a 3x5 card ("Card Entry") labeled "Scion Rally 2007 Sweepstakes Mail-in Entry" with your name, address, phone number and e-mail address (if you have one) (all of which must be legible) and mail to the Beyond Marketing Group, LLC, 15285 Alton Parkway, Suite 100, Irvine, CA 92618 (Attention: Scion Rally 2007 Sweepstakes). Use of any automated system (e.g., a photocopy machine) to submit Card Entries is prohibited and will result in disqualification. The Sweepstakes is intended for viewing and participation in the fifty (50) United States and the District of Columbia only and will be construed and evaluated only according to United States law. Do not enter the Sweepstakes if you are not physically located in the United States or the District of Columbia at the time of entry. On-line Entries made by individuals not physically located in the United States or the District of Columbia will be disqualified. Entries become property of the Sponsor and will not be returned. Sponsor reserves the right to void all entries made through any robotic, automatic, mechanically programmed or similar entry duplication method and to disqualify any individual using such a method. All On-Line Entries must be submitted by the deadline of 11:59 P.M. EST, October 15th, 2007. All Event Entries must be submitted at the Regional Event. In the event of a dispute as to the identity of the entrant, any On-line Entry will be deemed submitted by the holder of the e-mail account from which it was sent. In the event of a dispute as to any On-line Entry, the authorized account holder of the e-mail address or IP address used to enter will be deemed to be the entrant. The "account holder" is the person assigned an e-mail address or service by the organization responsible for assigning e-mail addresses for the domain associated with the submitted address. Winners may be required to show proof of being the authorized account holder. SELECTION OF WINNER: A total of ten (10) Prizes will be awarded. On or around October 16th, 2007, all of the Event Entries, On-Line Entries and Card Entries received by Sponsor will be combined into a single pool of entries and Sponsor or Sponsor's designee ("Judge") will conduct a random drawing and select ten (10) entries that will be entitled to win one (1) Prize (defined below) in accordance with these Official Sweepstakes Rules. Sponsor, Producer and Judge have complete discretion over interpretation of the Official Sweepstakes Rules, of administration of the Sweepstakes and of selection of the Winner. Decisions of the Sponsor, Producer and/or Judge as to the administration of the Sweepstakes, interpretation of the Official Sweepstakes Rules and the selection of the Winners will be final. Entrants selected by this drawing will be "Winners" subject to confirmation of eligibility and completion of the Prize Acceptance Document described below. Each Winner will receive the following "Prize": A three (3) day/two (2) night trip to attend SEMA (the premier automotive specialty products trade event in the world) in Las Vegas, NV, on or around October 30, 2007 ("SEMA Event"). Dates are subject to change and Prizes may be changed or substituted in Sponsor's sole discretion. The Prize trip includes: (1) Roundtrip coach air transportation to Las Vegas from the major commercial airport nearest Winner's home via a major carrier that services Las Vegas, if Winner resides more than Two Hundred (200) miles from Las Vegas; (2) Two (2) nights of hotel accommodations at a hotel selected by Sponsor (single occupancy, standard accommodations), in Sponsor's sole and absolute discretion. All travel arrangements must be made through the Sponsor. Certain restrictions and black out dates may apply; (3) One (1) VIP ticket to attend the official Scion Party at the SEMA Event at a date and time to be determined, in Sponsor's sole and absolute discretion; and (4) One (1) pass to attend the entire SEMA Event. Meals, gratuities, ground transportation, taxes, personal incidentals and all other expenses not specifically listed as part of Prize are the responsibility of the Winner. Sponsor will not replace any lost or stolen tickets, travel vouchers or certificates. Prize details and availability are subject to change, in which case a prize of similar or greater value will be substituted, at Sponsor's sole discretion. Prize is non-transferable, with no cash redemptions or substitutions except at Sponsor's sole discretion. Winners will be solely responsible for all federal, state and/or local taxes, and for any other fees or costs associated with the Prize. If, for whatever reason, the SEMA Event is cancelled after the Prize is ticketed, or cancelled during the trip prior to the SEMA Event, Sponsor's and Producer's liability for the Prize is limited only to the travel portion of the Prize. No compensation will be paid in lieu of the cancelled SEMA Event. The approximate retail value ("ARV") of each Prize is up to Two Thousand Seven Hundred Fifty Dollars ($2,750.00). One (1) Prize per person, household or family. Total ARV of all available Prizes: Twenty Seven Thousand Five Hundred Dollars ($27,500.00). The Sponsor and Producer shall not be responsible for awarding any unawarded Prizes, if the Winner's behavior at any of the Regional Events, SEMA Event and/or at any other time whatsoever causes the event producer to force the Winner to leave such Regional Event or SEMA Event and/or if hotel or transportation vendors refuse service to the Winner(s). Also, the Sponsor and Producer will not be responsible for awarding any unawarded portion of the Prize to the Winner if, the Winner undertakes activities or communicates messages or images or engages in speech publicly or made known publicly that: (a) are sexually explicit, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; (b) are obscene or offensive, or may create public disrepute, contempt, scandal or ridicule; (c) defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any third party's or Sponsor's personal or intellectual property rights or contain disparaging remarks about other people or companies; (d) are inconsistent with the positive images and/or goodwill to which the Sponsor wishes to associate (which may be determined by the Sponsor, at its sole and absolute discretion); and/or (e) otherwise violate the terms of any of the agreements that the Winners have agreed to comply with as an entrant of this Sweepstakes. WINNER NOTIFICATION, ELIGIBILITY AND PRIZE CLAIMING: Winners will be notified by e-mail, registered mail, delivery service and/or telephone on or about October 16th 2007. ("Notification" is deemed to have occurred immediately upon sending of an e-mail, placing of the phone call, one (1) day after sending via a delivery service or two (2) days after mailing). A potential Winner who provides a P.O. Box may be required to provide an alternative address and this may delay in Notification and acceptance and so use of a P.O. Box is discouraged. If a Winner does not complete and return the Prize Acceptance Document (defined below) within five (5) days of Notification or is unable to travel on dates specified by Sponsor, their Prize may (in Sponsor's sole discretion) be forfeited and an alternate winner may (in Sponsor's sole discretion) be selected by a random drawing from the remaining entrants ("Alternate Winner"). Sponsor and Producer will have no liability for any Winner Notification that is lost, damaged, intercepted or not timely received by the potential Winner for any reason. Winners will be required to execute and return an Affidavit of Eligibility/Release of Liability/Prize Acceptance Document ("Prize Acceptance Document"). Parents or legal guardians of Winners under the age of majority in their state of residence (which is 18 in most states but is nineteen (19) in Alabama and Nebraska and twenty-one (21) in Mississippi) may be required to also sign the Prize Acceptance Document, in order for the Winner to be qualified for a Prize. Additionally, Winners must agree to a background check (which may include a review of driving records). The Sponsor reserves the right to disqualify any individual whose background check reveals information that is inconsistent with the positive images and/or goodwill to which the Sponsor wishes to associate (which may be determined by the Sponsor, at its sole and absolute discretion). Travel companions may be required to sign a liability release prior to travel. Sponsor's obtaining a liability release from travel companions on Sponsor's request is a condition precedent to Winner receiving his or her Prize. In the event of noncompliance with these Official Sweepstakes Rules, or if the Winner cannot be contacted at the address on his or her entry form within the time requirements, or if Notification is undeliverable or delayed, Prize will be forfeited and an Alternate Winner may (in Sponsor's sole discretion) be selected in a random drawing. If an Alternate Winner cannot be verified within ten (10) days following the first (1st) Notification to any potential Winner, the airline portion of the Prize may remain unawarded due to advance ticketing requirements and no substitute Prize will be awarded; similarly the event and hotel portion of the Prize may remain unawarded in the event the applicable Winner(s) cannot be verified and finalized before the applicable event, and no substitute Prize will be awarded. In the event of a conflict between the Official Sweepstakes Rules and the Prize Acceptance Document, the Prize Acceptance Document will govern. PUBLICITY RELEASE: Entry in the Sweepstakes constitutes permission for Sponsor and its licensees, and its and their successors, assigns and sub-licensees to use entrant's name (except that the name of Tennessee residents who do not so consent will not be used for purely publicity purposes), likeness and biography for use, in connection with the Sweepstakes, including for advertising and/or publicity purposes, worldwide and in all forms of media and by all manners (now and hereafter known) and on and in connection with related products, services, advertising and promotional materials (now known or hereafter developed), in perpetuity, without any obligation to entrant except for the awarding of Prize(s) to Winners. Sponsor will have the authority to extend the Submission Period by posting notice thereof on the Sweepstakes Website. Sponsor is not responsible for the actions of entrants in connection with the Sweepstakes, including entrants' attempts to circumvent the Official Sweepstakes Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Sweepstakes. Entrants agree to check the Sweepstakes Website prior to the end of the Submission Period for any changes, and to ensure that there is no need to re-enter. The invalidity or unenforceability of any provision of these Official Sweepstakes Rules will not affect the validity or enforceability of any other provision. EACH PERSON WHO PARTICIPATES IN THE SWEEPSTAKES IRREVOCABLY AGREES THAT SUCH DISPUTE(S) WILL BE RESOLVED SOLELY BY BINDING ARBITRATION BEFORE A SOLE ARBITRATOR, WITH EXPERIENCE IN ADVERTISING OR PROMOTION AND ENTERTAINMENT LAW, UNDER THE RULES AND REGULATIONS OF THE AMERICAN ARBITRATION ASSOCIATION ("AAA"); PROVIDED, HOWEVER, THAT NOTWITHSTANDING THE PARTIES' DECISION TO RESOLVE ANY AND ALL DISPUTES ARISING UNDER THIS SWEEPSTAKES THROUGH ARBITRATION, SPONSOR MAY (1) SEEK TO OBTAIN INJUNCTIVE RELIEF OR OTHER EQUITABLE RELIEF FROM A COURT TO ENFORCE THE PROVISIONS OF THESE OFFICIAL SWEEPSTAKES RULES; (2) BRING AN ACTION IN COURT TO PROTECT OR INTERPRET SPONSOR'S INTELLECTUAL PROPERTY RIGHTS; AND/OR (3) BRING AN ACTION TO ENFORCE THE DECISION OF THE ARBITRATOR BEFORE ANY COURT WITHIN THE APPLICABLE JURISDICTION. THE ARBITRATION WILL BE HELD IN LOS ANGELES, CALIFORNIA. THE ARBITRATOR WILL APPLY THE SUBSTANTIVE LAWS OF THE STATE OF NEW YORK, WILL ISSUE A WRITTEN DECISION AND WILL HAVE THE POWER TO AWARD ANY LEGAL REMEDIES EXCEPT AS LIMITED BY THESE OFFICIAL SWEEPSTAKES RULES. THE PARTIES WILL SPLIT THE ARBITRATOR'S FEE. ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO BRING OR JOIN IN ANY CLASS ACTION REGARDING THE SWEEPSTAKES.
